By accessing or using the Aegis platform ("Service") provided by Euraika B.V. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Aegis is an AI-powered compliance management platform that helps organizations manage security, compliance, and audit readiness. The Service includes policy management, risk assessment, vendor management, compliance framework mapping, and related features.

3. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access
• You may not share your account with others or allow multiple users to access a single account
• You must be at least 18 years old or have legal authority to enter into this agreement

4. Subscription and Payments

4.1 Subscription Plans

The Service is offered under various subscription plans with different features and usage limits. Details of each plan are available on our pricing page.

4.2 Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• You are responsible for all applicable taxes

4.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

5. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Upload malicious code or attempt to breach security
• Interfere with the proper functioning of the Service
• Use the Service to store or transmit illegal content
• Reverse engineer or attempt to extract source code
• Resell or sublicense the Service without authorization
• Use automated systems to access the Service without permission

6. Your Data

6.1 Ownership

You retain all rights to your data. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

6.2 Data Processing

6.3 Data Export

You may export your data at any time through the Service's export functionality. Upon termination, you will have 30 days to export your data.

The Service, including all content, features, and functionality, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

The Service may integrate with third-party services. Your use of such integrations is subject to the terms and privacy policies of those third parties. We are not responsible for third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, COMPLIANCE, OR SECURITY ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

• You may cancel your subscription at any time through your account settings
• We may terminate or suspend your access for violation of these Terms
• Upon termination, your right to use the Service ceases immediately
• Provisions that by their nature should survive termination will survive

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by the laws of the Netherlands without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Amsterdam, Netherlands.
